Seller Terms & Condition
This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, which require the publication of the rules, regulations, privacy policy, and terms of use governing access to or use of the Clozzet Platform.The domain name www.clozzetindia.com, including its related mobile site, mobile application, and the seller portal (hereinafter referred to as the “Platform”), is owned and operated by Deevek Connect Private Limited (hereinafter referred to as “Clozzet”), a company incorporated under the Companies Act, 2013.For the purpose of these Terms and Conditions (“ToU”), wherever the context so requires:
(These figures are only for ideation, real commission percentage might vary upon the final partners agreement.)Sellers are solely responsible for ensuring compliance with applicable laws when making payments to Clozzet. Clozzet reserves the right to set off any amounts due from the Seller against payments payable to the Seller.Additionally, Clozzet is authorized to collect any applicable fees from consumers on behalf of the Seller. If Clozzet has provided services corresponding to such fees, it may retain these amounts accordingly.Goods and Services Tax (GST) Compliance
- “You” or “Seller” shall mean any natural or legal person who has agreed to become a seller on the Platform by providing registration details and completing the onboarding process using computer systems or any other mode as prescribed by Clozzet.
- “User” shall collectively refer to the Seller, Buyer, and any visitor accessing the Platform.
- “We,” “Us,” or “Our” shall mean Clozzet.
- You are duly authorized by the business entity to accept these Terms of Use (“ToU”), and
- You have the authority to bind the business entity to these ToU.

- Total Price in a Single Figure (inclusive of break-up price/charges, if applicable)
- Product Details (including Manufacturer/Packer Name & Complete Address)
- Imported Goods Details (including Importer Name, Address, and Country of Origin)
- Guarantee/Warranty Details (applicable to goods/services being sold)
- You possess all necessary licenses, approvals, and permits required under applicable laws to sell your goods/services on the Platform.
- You will ensure that all information provided remains true, accurate, and up to date at all times.
- You are solely responsible for maintaining the confidentiality of your account information, including your display name, login credentials, and password.
- If Clozzet determines or has reasonable grounds to believe that the information provided by you is false, misleading, inaccurate, outdated, or incomplete, Clozzet reserves the right to:
- Suspend or terminate your account, and/or
- Indefinitely restrict your access to the Platform.
Seller Account Deactivation
As per our policy, if a Seller requests the closure of their account, it will be put on hold for a period of 90 days to ensure smooth completion of any pending transactions before the closure request. During this period, the Seller will have access to payment and taxation reports for download. After 90 days, the Seller must confirm that they have downloaded the necessary reports and request deactivation again.Upon receiving this confirmation, the Seller’s account will be deactivated, provided there are no outstanding payments. However, certain information, such as registered mobile number, email ID, GSTIN, and transaction details, will be retained for audit and fraud prevention purposes. If a Seller wishes to resume business with us in the future, a new account cannot be created; instead, the existing account can be restored.Seller Account Hold
If a Seller ceases selling on our platform for 60 days without prior notice, their account will be placed on hold for 90 days to facilitate a smooth closure process. During this period, the Seller will still have access to their partner portal for full and final settlements. After 90 days, the account may not be reinstated, and the Seller may need to undergo the new onboarding process. The terms and conditions of our Full and Final Settlement Policy will apply during account closure.Communications
By using our platform or sending emails, data, or other communications to us, you acknowledge that you are communicating with us electronically and consent to receive responses through electronic records periodically or as needed. We may contact you via email or other electronic means.Platform for Transactions and Communication
Our platform serves as a marketplace where users independently interact for transactions. We are not and cannot be a party to any transaction or dispute between users.Consequently:
- All commercial and contractual terms, including pricing, shipping, payment methods, delivery, warranties, and after-sales services, are solely between the Seller and Buyer. We do not control or influence these terms.
- We do not make representations or warranties regarding product quality, value, or saleability. We do not endorse or guarantee any sale or purchase on the platform and are not liable for third-party errors.
- We are not responsible for non-performance or contract breaches between Sellers and Buyers and cannot mediate disputes.
- Sellers are advised to verify Buyers independently and exercise due diligence before transactions.
- We do not take possession of products or services at any point and hold no rights, title, or liabilities related to them.
- We are not liable for service delays, stock unavailability, or backorders.
- By using our platform, Sellers indemnify us against any costs, damages, or liabilities arising from user actions. Sellers should practice safe trading, as there may be risks of dealing with underage persons or individuals acting under false pretenses.
Use of the Platform
You agree and acknowledge that Clozzet and the Platform merely provide hosting services to its registered users and persons browsing or visiting the Platform. All items advertised or listed, along with the contents therein, are uploaded by registered users and constitute third-party user-generated content. Clozzet shall bear no responsibility or liability in relation to or arising out of third-party user-generated content. Clozzet neither originates nor initiates the transmission, nor selects the sender and receiver of the transmission, nor selects or modifies the information contained in the transmission. Clozzet is merely an intermediary and does not interfere in the transaction between Buyers and Sellers.You agree, undertake, and confirm that your use of the Platform shall be strictly governed by the following binding principles:You shall not host, display, upload, modify, publish, transmit, update, or share any information or image which:- Belongs to another person and over which you have no right;
- Is grossly harmful, harassing, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another’s privacy, hateful, racially or ethnically objectionable, disparaging, related to or encouraging money laundering or gambling, or otherwise unlawful in any manner whatsoever, or unlawfully threatening or harassing
- Is false, inaccurate, or misleading in any way;
- Is patently offensive to the online community, including but not limited to sexually explicit content or content that promotes obscenity, pedophilia, racism, bigotry, hatred, or physical harm of any kind against any group or individual;
- Infringes upon or violates any third party’s rights, including but not limited to intellectual property rights, privacy rights (including without limitation unauthorized disclosure of a person’s name, email address, physical address, or phone number), or rights of publicity;
- Contains restricted or password-only access pages, hidden pages or images, or URLs leading to any other pages not linked to or from an accessible page;
- Infringes any patent, trademark, copyright, proprietary rights, trade secrets, rights of publicity, or privacy, or involves fraudulent activities, or the sale of counterfeit or stolen items;
- Violates any law for the time being in force;
- Impersonates another person;
- Threatens the unity, integrity, defense, security, or sovereignty of India, friendly relations with foreign states, or public order, or causes incitement to the commission of any offense, or prevents investigation of any offense, or is insulting to any other nation;
- Creates liability for Clozzet or causes Clozzet to lose (in whole or part) the services of its Internet Service Providers (“ISPs”) or other suppliers.
- Clozzet shall withhold Tax Deducted at Source (TDS) under the Income Tax Act, 1961, where applicable, and deposit it with the Government.
- The Seller must provide a valid PAN and TAN for tax compliance. Transactions will be blocked without valid tax details.
- Clozzet will issue Form 16A (TDS Certificate) for applicable deductions, and the Seller must reconcile TDS claims with Form 26AS.
- TDS reimbursement requests must be submitted before August 31st of the following financial year. Late claims will not be entertained.
- Any failure to comply with tax regulations or misrepresentation by the Seller shall be the Seller’s sole responsibility, and Clozzet shall not be liable for any penalties imposed by tax authorities.
- The Seller shall indemnify and hold Clozzet harmless from any claims, penalties, or liabilities arising due to non-compliance with income tax laws.
Content Posted on the Platform
All text, graphics, Seller interfaces, visual interfaces, photographs, trademarks, logos, ideas, images, videos, and other material or information (collectively referred to as “Content”) are third-party generated Content, and Clozzet assumes no responsibility or liability over such third-party generated Content, as Clozzet merely acts as an intermediary for the purposes of this Terms of Use (“ToU”).Except as expressly provided in the ToU, no part of the Platform, including the Content, may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way (including “mirroring”) to any other computer, server, website, or other medium for publication, distribution, or any commercial enterprise without Clozzet’s prior written consent.The Seller shall be responsible for any Content posted or transmitted on the Platform. Such Content shall become the property of Clozzet, and the Seller grants Clozzet worldwide, perpetual, royalty-free, and transferable rights in such Content.Clozzet shall be entitled, consistent with its Privacy Policy and as per applicable law, to use the Content or any of its elements for any purpose.Limited License
Clozzet grants Sellers a limited, non-transferable, non-exclusive, non-sublicensable, non-assignable license to use the “Clozzet” name and/or logo on the Seller’s invoice for transactions concluded on the Platform.Further, Clozzet grants Sellers a limited, non-transferable, non-exclusive, non-sublicensable, non-assignable, and personal license to use the “Clozzet” name and/or logo on packing material used by Sellers for the delivery of Products sold on the Platform.This license does not grant any rights to modify, alter, or use the Clozzet trademark and logo beyond what is expressly permitted under this clause. Any misuse or unauthorized use shall result in immediate revocation of the license and may lead to legal action.Payment Terms
- Clozzet facilitates payments from buyers to sellers through integrated payment gateways, including but not limited to credit/debit cards, UPI, net banking, wallets, and prepaid payment instruments (PPIs).
- The Seller authorizes Clozzet to collect payments on its behalf and settle them after deducting applicable service fees, commissions, taxes, and other dues as per Clozzet’s prescribed settlement cycle.
- Clozzet shall process settlements within 7 days from the date of successful order fulfillment, after the return period is over which is 48 hours subject to compliance with these Terms.
- In the event of payment failures or chargebacks, Clozzet reserves the right to withhold amounts or adjust future settlements until resolution.
Dispatch of Products and/or Services
As a Seller on Clozzet, you are required to dispatch all products and/or services for every transaction to the Buyer within the timeframe specified in the Terms of Use (ToU) to ensure timely delivery (mentioned in the agreement).The Seller must provide accurate dispatch details and information regarding after-sales services for all listed products and services on the Platform within the timeframe specified in the applicable policies. Failure to do so may result in transaction cancellation.Payment Remittance to Sellers
The transaction price paid by the Buyer will be remitted to the Seller’s bank account upon meeting the following conditions:- The Buyer confirms delivery of the product/service.
- The Buyer does not take any action to confirm or dispute the delivery within the period specified in Clozzet’s policies, despite the Seller marking the order as dispatched.
- The Buyer’s refund claim is rejected due to a breach of the ToU, platform policies, or any applicable law.
- Once the transaction is completed, remittance will be made in accordance with RBI’s Intermediary Guidelines.
Logistics and Shipping
- All shipments/consignments must be routed through Clozzet’s approved Logistic Partner, unless otherwise specified.
- Logistic Partner refers to an authorized logistics service provider approved by Clozzet.

- The Seller must have a valid GST Identification Number (GSTIN) and ensure compliance with applicable tax laws.
- The Seller is responsible for charging, collecting, and remitting GST under CGST, SGST, IGST, and UTGST regulations.
- Clozzet will collect Tax Collected at Source (TCS) where applicable and remit it to the government.
- Sellers must issue GST-compliant invoices containing GSTIN, HSN/SAC codes, and applicable tax rates.
- Any mismatch in tax filings leading to denial of input tax credit (ITC) for Clozzet will be the sole liability of the Seller.
- The Seller shall indemnify Clozzet against any tax-related claims, penalties, or liabilities arising from non-compliance.
Compliance with Laws
- The Seller must comply with all applicable laws, including e-commerce, taxation, consumer protection, and intellectual property regulations.
- Listed products must not violate local, national, or international laws, including those related to safety, quality, and restricted or counterfeit goods.
- If a regulatory body issues a notice or penalty concerning the Seller’s products, the Seller must notify Clozzet immediately and take corrective actions.
- Prohibited & Restricted Products: Sellers are strictly prohibited from listing counterfeit, illegal, hazardous, or restricted goods. Violations will result in product delisting, account suspension, and legal action.
Anti-Corruption Policy
- The Seller shall strictly comply with all anti-bribery and anti-corruption laws, and any applicable international anti-corruption laws.
- The Seller must not offer, give, solicit, or accept bribes, kickbacks, or any improper advantage to influence business transactions.
- Any attempt to engage in fraudulent or corrupt activities, including misrepresentation of products, false claims, or bribing Clozzet’s employees, will result in immediate termination of the Seller’s account and legal action.
- The Seller must ensure that its employees, agents, or subcontractors comply with anti-corruption laws. Clozzet reserves the right to audit and investigate any suspicious transactions.
- Any violation of anti-corruption laws shall make the Seller fully liable, and Clozzet shall not bear any responsibility for penalties or damages incurred.
- The Seller shall indemnify and hold Clozzet harmless from any claims, penalties, or liabilities arising due to non-compliance with anti-corruption laws
Product Description
Clozzet makes no express or implied warranties regarding the accuracy, completeness, or reliability of product descriptions or any other content published on the platform. The responsibility for ensuring that all product listings are factually correct, compliant with applicable consumer protection laws, and free from misleading representations lies solely with the seller. Any discrepancies or misrepresentations may result in corrective actions, including removal of listings or further enforcement measures.AuditsClozzet retains the right to conduct audits of a seller’s records, operations, and premises, either directly or through independent third-party auditing firms authorized by Clozzet. If such an audit is conducted in the ordinary course of business, the costs shall be borne by Clozzet. However, should the audit reveal financial discrepancies, non-compliance with Clozzet’s policies, or violations of applicable regulations, the seller shall be fully liable for all associated audit costs and any remedial actions deemed necessary by Clozzet.Breach & Enforcement
In the event of a breach of Clozzet’s policies, terms of use, or any applicable legal requirements, Clozzet reserves the right to take immediate enforcement actions, including but not limited to:- Restricting or limiting the seller’s activities on the platform.
- Immediate removal of any non-compliant product listings.
- Temporary suspension or permanent termination of the seller’s account.
- Initiation of legal proceedings, including claims for damages, penalties, or injunctive relief, if deemed necessary.
Indemnity
The seller agrees to indemnify, defend, and hold harmless Clozzet, its affiliates, officers, directors, employees, and agents from any claims, demands, liabilities, penalties, or legal proceedings arising from:- Non-compliance with Clozzet’s policies or applicable laws.
- Infringement of intellectual property rights of third parties.
- Any misrepresentation, fraudulent conduct, or violation of consumer rights by the seller.
